Terms and Conditions

1. Services Provided

1.1 Heidelbell UG ("Service Provider") agrees to provide the IT & Consulting services described in the attached Service Agreement ("Agreement") with the client ("Client").

2. Service Level

2.1 Service Provider will use reasonable efforts to deliver the services according to the terms specified in the Agreement.
2.2 Client agrees to provide necessary cooperation and information to enable Service Provider to fulfill its obligations.

3. Fees and Payment

3.1 Client agrees to pay Service Provider the fees as specified in the Agreement.
3.2 Payment is due within 30 days of the invoice date.

4. Intellectual Property

4.1 All intellectual property rights to any software, code, or other materials developed by Service Provider remain the property of Service Provider unless otherwise agreed in writing.

5. Warranty and Liability

5.1 Service Provider warrants that services will be provided with reasonable skill and care.
5.2 The Client acknowledges that the use of IT & Consulting services involves inherent risks, and Service Provider shall not be liable for any loss or damage resulting from the use of its services.

6. Confidentiality

6.1 Both parties agree to keep confidential information received from the other party strictly confidential.

7. Term and Termination

7.1 The Agreement shall commence on the effective date and continue for the term specified in the Agreement.
7.2 Either party may terminate the Agreement in the event of a material breach by the other party.

8. Governing Law and Jurisdiction

8.1 This Agreement shall be governed by and construed in accordance with the laws of Germany.
8.2 Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Germany.
